Introduction

Saniya is a key member of Aekom’s M&A team with around 5 years of experience advising corporates and multinational clients on private equity investments, strategic acquisitions, and cross-border transactions. She specialises in legal due diligence, drafting and negotiating transaction documents, and advising on regulatory compliance, including matters under FEMA, thereby enabling clients to execute transactions efficiently and effectively.

Mergers & Acquisitions

  • Advised ILJIN Electronics on its acquisition of Shogini Technoarts, a leading PCB manufacturer, and on the acquisition of a controlling stake in Unitronics, a publicly listed Israeli company.
  • Advised Godawari Power & Ispat, a listed entity, in strategic acquisition of 51% in Jammu Pigments Limited, valued at a post-money valuation of INR 500 Crores.
  • Advised Jindal Poly Films, a listed company, on acquisition of JPF Netherlands Investment B.V. from Topaz Enterprise DMCC.
  • Advised Patanjali Ayurved in slump sale of rice manufacturing and processing business.
  • Advised Amber Group in its buyout of additional shares in its material subsidiaries, Il Jin Electronics and Ever Electronics, from the erstwhile promoters.
  • Advised Emerge Capital, a SEBI-registered Category III AIF, on acquiring a 100% stake in SMIC Autoparts Private Limited.
  • Advised ILJIN Electronics in its strategic joint venture with Noise in the smart wearables industry.
  • Advised Amber Group in its strategic joint venture with the LCGC Resolute Group.
  • Advised Sidwal Refrigeration Industries in the establishment of a transformative strategic alliance with Titagarh for equal control in a new railway components business, and additional equity investment in Firema (Italy).
  • Advised on the India-Korea joint venture between Intec Corporation and South Korea’s HNTENC Co. Ltd. for SITC contracts from Indian automobile companies.
  • Advised Findoc Group on the structuring and establishment of its various joint venture entities.
  • Advised Amber Enterprises on its investment in the fund raise by NRV DesignX Private Limited, along with Piper Serica and Think Next LLC.
  • Advised Bajaj Motors Limited (lead investor) on its investment in Green Tiger Mobility Private Limited.
  • Advised Dr. Ritesh Malik, family office of Vijay Shekhar Sharma, on the restructuring and fund raise by GreenR, a plant-forward vegetarian restaurant chain.

Real Estate & Infrastructure

  • Advised Quattro Group on its 100% acquisition of Concepts Tech Park from Blackstone and on the execution of lease deeds with tenants including InsuranceDekho.
  • Advised Amber Enterprises on multiple real estate acquisitions including the strategic purchase of prime commercial space in Universal Trade Tower, Gurugram.
  • Advised RSRN Family Trust, family trust of promoters of Ceigall, on land acquisition from Vinayak Towers.
